Seaters' end user terms and conditions

Seaters is a web application ("Platform") that allows companies to offer their sponsoring assets ("Assets"), like tickets for sports, music, or cultural events ("Events"), to users like you. The platform's goal is to maximize the number of people attending these Events. The Platform is operated by Seaters BV, which we'll refer to as "Seaters BV," "we," or "us".

1. Definitions

• "Seaters User": An individual registered on the Platform who can enter a queue to receive Assets for Events.

• "Event": A sports, music, cultural, or other event for which tickets are available.

• "Asset": A pass, ticket, or other form of entitlement that grants you admission to an Event.

• "Platform": The Seaters.com website and any related mobile websites or applications connected to it.

2. Agreement to the Terms and Conditions

These Terms and Conditions are a legally binding agreement between you and Seaters BV. By accessing the Platform, you confirm that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of them, you must stop using the Platform immediately.

We may make changes to these Terms and Conditions from time to time. We will alert you to any changes by updating the "Last updated" date. Please check the applicable Terms and Conditions every time you use our Platform so that you understand which terms apply. Your continued use of the Platform after changes are posted means you have accepted the revised terms.

3. Intellectual Property Rights

Unless otherwise stated, the Platform and all its content (including source code, databases, software, text, and graphics, collectively the "Content") and trademarks (the "Marks") are owned or controlled by us. They are protected by copyright and trademark laws. The Content and Marks are provided on the Platform "AS IS" for your information and personal use only. You may not copy, reproduce, republish, sell, license, or use any part of the Platform for any commercial purpose without our express written permission. You may download or print a copy of any content that you have personally contributed to the Platform.

4. User Registration and Representations

You are required to register with the Platform to use its full features. You agree to keep your password confidential and will be responsible for the correct use of your account and password.

By using the Platform, you represent and warrant that:

• You are at least 18 years of age.

• All registration information you submit will be true, accurate, current, and complete.

• You will maintain the accuracy of this information and promptly update it as necessary.

• You have the legal capacity to agree to these Terms and Conditions.

• You are not a minor in the jurisdiction where you reside.

• You will not access the Platform through automated or non-human means like bots or scripts.

• You will not use the Platform for any illegal or unauthorized purpose.

• Your use of the Platform will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account.

5. Fees and Payments

As a Seaters User, you will not be charged any fee for the use of our services. This service is provided by the sponsoring company (the "Licensee").

6. Acquiring Tickets via the Wish List

The Platform may allow you to express interest in an Event by joining a "Wish List." When tickets become available, you may be notified. You will then need to follow the specific instructions to confirm your request and complete any necessary payment. If an event for which you have acquired tickets is canceled, you will be subject to the refund policy of the event organizer or the company providing the tickets.

7. Prohibited Activities

You may only access or use the Platform for the purpose for which we make it available. The Platform may not be used for any commercial activities except those specifically approved by us. As a user, you agree not to:

• Trick, defraud, or mislead us or other users.

• Circumvent or interfere with security-related features of the Platform.

• Disparage, tarnish, or otherwise harm us or the Platform.

• Use information from the Platform to harass, abuse, or harm another person.

• Make improper use of our support services or submit false reports.

• Upload viruses, Trojan horses, or spam.

• Engage in any automated use of the system, such as using scripts, data mining, or robots.

• Attempt to impersonate another user or use their username.

• Interfere with or disrupt the Platform or its networks.

• Harass, annoy, intimidate, or threaten any of our employees.

• Copy or adapt the Platform's software.

• Reverse engineer any of the software that makes up the Platform.

• Use the Platform as part of an effort to compete with us.

• Sell or otherwise transfer your profile.

• Act on behalf of other people or a company you are not affiliated with.

8. User Generated Contributions

The Platform may allow you to create, submit, or post content and materials, such as comments, suggestions, or photos (collectively, "Contributions"). When you create any Contributions, you represent and warrant that:

• The creation, distribution, and display of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.

• You are the creator and owner of or have the necessary licenses, rights, consents, and permissions to use and to authorize us and other users of the Platform to use your Contributions.

• You have the written consent or permission of every identifiable individual person in your Contributions to use their name or likeness.

• Your Contributions are not false, inaccurate, or misleading.

• Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, or other forms of solicitation.

• Your Contributions are not obscene, lewd, violent, harassing, libelous, slanderous, or otherwise objectionable.

• Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.

• Your Contributions are not used to harass or threaten any other person and do not promote violence against a specific person or class of people.

• Your Contributions do not violate any applicable law, regulation, or rule, including those concerning child pornography or the protection of minors.

• Your Contributions do not violate the privacy or publicity rights of any third party.

• Your Contributions do not include any offensive comments connected to race, national origin, gender, sexual preference, or physical handicap.

• Your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms and Conditions.

Any use of the Platform that violates these rules may result in the termination or suspension of your right to use the Platform.

9. Contribution License

We do not claim ownership of your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights associated with them. However, by providing Contributions, you grant Seaters a worldwide, royalty-free license to use, reproduce, and display that content in connection with providing the Platform's services. We are not liable for any statements in your Contributions. You are solely responsible for your Contributions and agree to release us from any responsibility and to refrain from any legal action against us regarding your Contributions.

10. Submissions

You agree that any questions, comments, suggestions, or feedback you provide to us ("Submissions") are non-confidential and will become our sole property. We will own exclusive rights and can use these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

11. Platform Management

We reserve the right, but not the obligation, to: (1) monitor the Platform for violations of these Terms and Conditions; (2) take appropriate legal action against anyone who violates the law or these terms; (3) refuse, restrict access to, or disable any of your Contributions; (4) remove files and content that are excessive in size or burdensome to our systems; and (5) otherwise manage the Platform to protect our rights and facilitate its proper functioning.

12. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy on our website. By using the Platform, you acknowledge our Privacy Policy. The Platform is hosted in Belgium. If you access the Platform from another region, your data will be transferred to and processed in Belgium.

13. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Platform at any time without notice. We may also experience hardware, software, or other problems or need to perform maintenance, which could result in interruptions, delays, or errors. You agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Platform during any downtime.

14. Disclaimer of Warranties

Except for any warranties explicitly made in these Terms and Conditions, the Platform is provided as-is. We make no other warranties, whether express or implied, including but not limited to any implied warranties of merchantability or fitness for a particular purpose.

15. Limitation of Liability

Under no circumstances shall we be liable to you for any indirect, incidental, or consequential damages, including lost profits or losses resulting from business interruption. Our liability does not extend to:

• Disputes or interactions between you and other users.

• Technical issues arising from the compatibility of your device or software.

• Content found in third-party messages or links.

We advise you to protect your devices with appropriate anti-malware software.

16. Force Majeure

Neither party shall be liable for any delay or failure to perform an obligation if it is caused by an event beyond the party's control, such as acts of war, terrorist acts, epidemics, fires, floods, or power blackouts.

17. Dispute Resolution

• Informal Negotiations: To resolve a dispute, both parties agree to first attempt to negotiate informally for at least thirty (30) days before starting arbitration.

• Binding Arbitration: If negotiations fail, any dispute will be determined by a single arbitrator in Leuven, Belgium. The language of the proceedings shall be Dutch.

• Restrictions: Any arbitration shall be limited to the dispute between the parties individually. Class-action lawsuits are not permitted.

• Exceptions: Disputes related to intellectual property rights, theft, piracy, or invasion of privacy are not subject to the arbitration requirement and may be brought before a court.

18. Governing Law

These conditions are governed by and interpreted following the laws of Belgium, and you agree to submit to the non-exclusive jurisdiction of the courts of Leuven, Belgium. However, for users domiciled in France, these terms are governed by French law, and disputes shall be subject to the jurisdiction of the courts of Paris, France.

19. Corrections

There may be information on the Platform that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information at any time, without prior notice.
